4. ATTACH A BRIEF STATEMENT OF PRODUCT, EQUIPMENT AND/OR SERVICE(S) TO BE DISPLAYED: Limit statement to 25-30 words, keeping in mind the information will be used to prepare the Directory of Exhibitors included in the Conference Program. SBPA reserves the right to edit the copy submitted.

5. EXHIBIT RULES: By submitting this Application and Agreement, Exhibitor agrees and subscribes to the Exhibition rules and regulations, as set forth herein.


6. TYPES OF EXHIBITORS: Only Exhibitors offering products, equipment and/or services which are related to the interests and educational values of SBPA may obtain exhibit space at the Conference. SBPA reserves the right to determine, in its sole discretion, the eligibility of any applicant as an Exhibitor.


7. LOCATION OF EXHIBIT SPACE: SBPA shall assign exhibit space to Exhibitors on a first-come, first-served basis. SBPA, however, reserves the right to determine , in its sole discretion, the exact location of Exhibitor’s exhibit space. SBPA further reserves the right to relocate Exhibitor’s assigned exhibit space upon notification or request to Exhibitor by SBPA.


8. CANCELLATION: If an Exhibitor cancels this Agreement, at any time, Exhibitor shall not receive a refund of the cost paid for exhibit space, except if, by the date of the Exhibition, all other spaces have been sold and Exhibitor’s space has been resold. In this situation, a $50 service fee will be subtracted from the total cost of Exhibitor’s exhibit space, and the remaining balance shall be refunded.


9. CHANGES IN DATES OR NON-OCCURRENCE OF EXHIBITION: Exhibitor agrees that SBPA shall not be liable in any way for any costs, expenses, loss of profits or any other damages whatsoever, incurred or sustained by Exhibitor or its agents or assigns, in the event that the Exhibition is not held for any reason or for no reason at all on the dates contemplated but is rescheduled to an alternative date or dates. In the event the Exhibition is not held at all, SBPA shall refund to Exhibitor the amount paid by Exhibitor under this Agreement, except for circumstances of force majeure, beyond SBPA’s control.


10. AGREEMENT: No assignment or transfer of this agreement nor sublease of or license to use any part of the exhibit space shall be made by Exhibitor without the prior written consent of SBPA.


11. INSTALLATION AND REMOVAL OF EXHIBIT: Exhibitor may have access to exhibit spaces at 9:00 a.m. Saturday, September 22, 2018. Exhibitor must have the installation of the exhibit completed by 10:30 a.m. and may commence breakdown of the exhibit following the optional vendor drawings, at approximately 2:30 pm. Exhibitor will have until 5:00 p.m. to remove the exhibits from the Exhibition area. Exhibitor shall remove from the exhibit space, the exhibits and all property, goods and effects belonging to Exhibitor or caused by Exhibitor to have been brought upon the premises. If such exhibit, property, goods and/or effects are not removed by 5:30 p.m., Saturday, September 22, 2018, SBPA shall have the right to remove and dispose of them in any manner it may deem reasonable, including, but not limited to, selling them, storing them or causing them to be stored. If storing them is the case, Exhibitor shall pay all expenses incurred by SBPA in association with the storage, plus a reasonable fee for SBPA’s time, services and effort in storing the items. All articles, exhibits, fixtures, materials, displays, etc. shall be brought into or out of the exhibit building at such entrances and exits as may be designated by SBPA.


12. ARRANGEMENT OF EXHIBITS: Exhibitor’s exhibit(s) shall be arranged so that it/they do(es) not obstruct the general view of other exhibits in the Exhibition area. Exhibitor’s exhibit must not obstruct or interfere with the ability to get through the hallways of the Courthouse. If Exhibitor plans any special display(s), Exhibitor shall submit drawings for such display(s), in advance of the Conference, to SBPA for its approval.

Display material exposing an unfinished surface to neighboring booths is strictly prohibited. Nothing shall be posted on, tacked, screwed, glued, or otherwise attached to columns, walls, floors or other parts of the building, equipment, or furniture. Any extension cords used in the facility must be matted, not taped to the tiled floor. Any tables, chairs, tripods, display stands or other equipment brought by Exhibitor which are made of metal must be equipped with rubber or plastic-end caps. Anything necessary to protect the buildings, equipment or furniture from damage which may be caused by any part of Exhibitor’s display must be used and must be obtained by the Exhibitor, at Exhibitor’s own expense. Exhibitor understands and agrees that existing lights, plants or paintings must not be moved. Exhibitor understands and agrees that Exhibitor is responsible for bagging, tying and removing all trash from the building and property.

Exhibitor shall not do, nor permit to be done, anything which may interfere with the effectiveness or accessibility of utility, heating, ventilating, air conditioning, or fire safety systems, or portions thereof, in the Courthouse. Nor shall Exhibitor do, or permit to be done, anything which may interfere with free access and passage in and around the exhibit space areas in the Courthouse, in the public areas adjacent thereto, or to the street or sidewalks adjoining.

Any exhibits not conforming to these specifications, or which in design, operation, or otherwise, are objectionable in the opinion of SBPA or the Courthouse are prohibited.


13. BOOTH OPERATION: Exhibitor shall confine all of its activities to the space for which it has contracted. Accordingly, Exhibitor shall not be permitted to use strolling entertainment or to distribute literature, samples, or souvenirs, except from its own exhibit space. Canvassing or distribution of literature, souvenirs, or novelties in the Exhibition area by entities who are not Exhibitors is strictly prohibited. Only souvenirs and novelties which bear general relationship to the conference may be distributed by Exhibitors from their exhibit space.

However, SBPA reserves the right to prohibit the distribution of any such literature, souvenirs, or novelties which, in its sole discretion it deems to be illegal, offensive, objectionable or not sufficiently related to the interests and educational values of the Conference and/or SBPA.

Exhibitors are prohibited from using sound amplification equipment which, in the sole discretion of SBPA, is objectionable. Exhibitors are also prohibited from using costumed people or mannequins whose appearance or dress, in the sole discretion of SBPA, may be offensive to others.


14. SAFETY, FIRE AND HEALTH REGULATIONS: Exhibitors shall assume and bear total responsibility for compliance with any and all local, city and state safety, fire and health laws, ordinances and regulations regarding the installation and operation of the exhibit. Open flames, butane gas, oxygen tanks, materials and fluids which are flammable, etc., shall not be permitted.

Exhibitor agrees to defend, indemnify, and hold harmless SBPA, its Board of Directors, including its officers, agents, employees and representatives, against any and all claims, demands, causes of action, damages, costs, including attorney’s fees, charges and liabilities, in law or in equity, for violation of any safety violation directly or indirectly results from or is caused by any act of negligence of Exhibitor or its agents, employees, representatives, caused by any act of negligence of Exhibitor or its agents, employees, representatives, sublessee, licensees or assigns (hereinafter collectively referred to as representatives).


15. REGISTRATION AND ADMISSION: The Exhibition is open to the general public. Those persons who are attending the Conference will be provided with Conference badges.

Complimentary Conference badges will be provided to Exhibitors. Each exhibit space must be staffed during designated Exhibitor times. Official badges shall be worn by Exhibitor’s representatives at all times while in the Exhibition area. Exhibitor shall provide SBPA with the names of the representatives who will be working in the exhibit space.


16. HOTEL ACCOMMODATIONS: Making arrangements for local hotel accommodation is the sole responsibility of the Exhibitor.


17. COMPLIANCE WITH LAWS: Exhibitor and its representatives shall comply with all applicable rules, regulations, laws, and ordinances adopted or established, from time to time, by any governmental agency or department thereof, provided that Exhibitor shall not be obligated under this paragraph to make repairs, alterations or modifications of the Courthouse facilities which are required by public authorities.


18. LIMITATION OF LIABILITY: SBPA and any officer or employee of the foregoing will exercise reasonable care for the protection of Exhibitor’s materials and displays; however, beyond this, will not be responsible for the safety of the property of Exhibitor, its agents, or employees, from theft, damage by fire, accident, or any other causes.


19. INDEMNITY: Exhibitor agrees to indemnify, defend and hold harmless SBPA, its Board of Directors, officers, agents, employees, representatives, guests or invitees, as the same may be constituted now and from time to time hereafter, from and against any and all liability, losses or damages or any expenses or costs, including attorney’s fees and other liabilities, in law or in equity, of every kind and nature whatsoever, incurred by SBPA as a result of any claims, demands, costs or judgments against SBPA that might arise out of or in connection with:

(A) Exhibitor’s performance or failure to perform, or alleged performance or alleged failure to perform, under the terms of this Agreement; (B) the use or occupation of exhibit space or surrounding areas by Exhibitor or any of its representatives, guests, patrons or surrounding areas by Exhibitor or any of its representatives, guests, patrons or invitees, whether such use is authorized or not; and (C) any actual or alleged negligent or intentional acts of omissions of Exhibitor, its representatives, guests, patrons or invitees. Exhibitor shall pay for any and all damages to the property of SBPA and/or of the Courthouse for loss or theft of such property, which was done or caused by negligence of Exhibitor, its representatives, guests, patrons or invitees.


Exhibitor shall give SBPA prompt and timely written notice of any claim made or action instituted coming to its knowledge which may in any way directly or indirectly, contingently or otherwise, affect either party hereto.


20. INSURANCE: Exhibitor understands that neither SBPA nor the County of Santa Barbara maintains insurance covering Exhibitor’s property, and it is the sole responsibility of Exhibitor to obtain such insurance.


21. INTERPRETATION: The interpretation and application of this Agreement shall be governed exclusively by the laws of the State of California.


22. OTHER MATTERS: All matters and questions not covered by this Application and Agreement are subject to the sole discretion of SBPA.


23. SEVERABILITY: If any provision, clause, sentence, paragraph or part of this Application and Agreement, or the application of either to any person or organization shall, for any reason, be adjudged by the court of competent jurisdiction to be invalid, such judgment shall not affect, impair or invalidate the remainder of this Agreement or the Application to any person or organization.

ACCEPTANCE OF TERMS BY EXHIBITOR: By submitting payment I, the duly authorized representative of Exhibitor, have read the foregoing in its entirety, and on behalf of Exhibitor hereby subscribe and agree to the terms, promises, covenants, and conditions stated herein.
